In no event will FITCH be liable for (i) any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of business and/or personal profits, business interruption, loss of programs or information, and the like) arising out of the use of or inability to use Fitch, or any information or services provided on the Service, even if FITCH has been advised of the possibility of such damages, or (ii) any claim attributable to errors, omissions, or other inaccuracies related to the content accessible through FITCH. Any liability of FITCH, based on a claim brought by you in connection with your use of the site, shall be limited to the amount paid by you, if any, for use of the ADVERTISING site or any of its products during the one-year period immediately preceding the alleged damage. Indemnification
You agree to indemnify and hold harmless FITCH from and against any and all liability, loss, claims, damages, costs and/or actions (including attorneys' fees) based upon or arising out of any breach by you of your obligations under this Agreement. We reserve the right to defend any such claim, and you agree to provide us with such reasonable cooperation and information as we may request. Jurisdiction This Agreement between FITCH and its users will be governed and interpreted under the laws of the state of California , without regard to its conflict of laws provisions. Any action brought in connection with this Agreement shall be filed within one year of the date of the alleged injury, regardless of any statute of limitations, and filed in the Superior Court of the State of California, County of Sacramento or U.S. District Court for the State of California , Eastern District, 9th Judicial District.
